Terms of Service

1. General Provisions

All orders and services provided by Heyzack are governed exclusively by these Terms of Service. These terms apply to all sales and services and supersede any conflicting terms from customers. Orders are firm and binding unless otherwise agreed in writing by Heyzack within 14 days.

2. Pricing

All prices are listed exclusive of VAT, which is added where applicable. Prices are subject to change at any time without notice. Price changes do not authorize order cancellations. Invoices reflect the price effective at the time of shipment or service delivery.

3. Payment Terms

Invoices are payable within 30 days of the date of issuance. Late payments incur a 20% annual penalty rate, applied retroactively from the due date, and an additional €100 fixed recovery fee if overdue, pursuant to applicable commercial code provisions.

If prior orders were not paid or obligations not met, Heyzack reserves the right to refuse further orders unless satisfactory guarantees are provided or payment is made in advance.

4. Delivery Time & Liability

Delivery times are estimates only and not guaranteed. Delays do not entitle clients to cancel, reject, or claim damages. Goods must be inspected upon delivery. Any damage or shortages must be noted on the delivery document and reported within legally required timeframes.

5. Force Majeure

Heyzack will not be liable for any failure to fulfill obligations due to force majeure events, such as strikes, transport disruptions, energy shortages, or other unforeseeable events beyond its control. Delivery delays under such circumstances do not justify cancellation or compensation, though Heyzack will endeavor to inform the customer promptly.

6. Retention of Title

Heyzack retains ownership of all sold goods until full payment of the invoice and associated costs. In case of non-payment at the agreed due date, Heyzack may recover the goods without prejudice to retention of previously paid amounts.

The risk of loss or damage transfers to the buyer upon delivery, even if ownership remains vested in Heyzack.

7. Warranty & Returns

Customers must inspect goods upon receipt for compliance. Claims for defects or shortages must be lodged within 8 days of delivery. Defective or non-conforming goods will be replaced or repaired at Heyzack’s discretion, with no entitlement to compensation beyond this.

No returns or refunds are accepted for items not returned in their original, unused state or outside of warranty conditions.

8. Governing Law & Jurisdiction

These Terms are governed by French law, and any disputes shall be resolved exclusively by the Commercial Court of Paris.
